Terms of Service

These Terms of Service (“Terms”) govern your participation in the Represent Athlete Program (the “Program”), operated by Represent The Code (“RTC,” “we,” “us,” or “our”). By creating an athlete account, sharing a discount code or referral link, or otherwise participating in the Program, you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years old to create an account and at least 18 years old to receive cash payouts. If you are under 18, you represent that your parent or legal guardian consents to your participation and to these Terms. You must provide accurate, current, and complete information during signup and keep your account information up to date.

2. Your Account

You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to notify us immediately at team@representthecode.com if you suspect unauthorized use. We may suspend or terminate accounts that contain inaccurate information, that share credentials, or that operate under more than one identity.

3. The Athlete Program

When you join the Program, RTC issues you a unique athlete discount code and referral link. You may share these to drive customer purchases at representthecode.com. Customers who use your code or link receive the customer discount associated with your current tier, and you earn a commission on qualifying orders at the commission rate associated with your current tier.

Your tier may increase based on the kit gear you purchase, the cumulative sales you drive, or both, as described on your dashboard. RTC may add, remove, or modify tiers, commission rates, and customer discount rates at any time with reasonable notice posted to your dashboard.

Tier-eligible purchases.Only orders placed through your athlete dashboard’s “Gear Up to Level Up” locker count toward tier progression. Items bought directly from representthecode.com (including stickers, accessories, and any non-locker products) do not count, even if your athlete discount code is applied. RTC determines tier-eligibility solely from the locker-order records in our system; outside purchases, screenshots, receipts, or other evidence will not be accepted to advance a tier.

4. Commissions, Pending Holds & Payouts

  • Pending hold. Commissions on each order are held in a pending state for seven (7) days from the order date. After the hold elapses, the commission becomes withdrawable.
  • Refunds and chargebacks. If an order is refunded, cancelled, or charged back at any time, the associated commission is reversed and deducted from your lifetime earnings. Refunds may also reduce your tier if you fall below a tier threshold as a result.
  • Order total. Commission is calculated on the net merchandise subtotal of an order (post- discount line item total, excluding tax, shipping, and gift-card-paid portions).
  • Self-purchases. Commissions are not paid on your own purchases or on orders attributable to you as both the athlete and the buyer.
  • Withdrawals. Withdrawals are processed via Venmo to the handle on your account. Minimum withdrawal is ten U.S. dollars ($10). We may delay or deny a payout pending fraud review.
  • Taxes. You are an independent contractor, not an employee. You are solely responsible for reporting your earnings and paying any taxes due. If your annual U.S. earnings reach the IRS reporting threshold, we may request a Form W-9 and issue a Form 1099.
  • Store credit. RTC store credit (e.g. share rewards, recruitment kickers, NIL mission credits) is non-transferable, has no cash value, and may expire or be revoked if your account is closed or suspended.

5. Promotion Rules

You are responsible for how you promote your athlete code and link. You agree that you will not:

  • Run paid advertising campaigns (including Meta Ads, Google Ads, or TikTok Ads) using RTC trademarks, product names, or domain in the ad creative or keyword targeting without prior written approval from RTC.
  • Spam, mass-DM, or otherwise distribute your code in a manner that violates the terms of any platform (Instagram, TikTok, YouTube, email providers, SMS, etc.).
  • Misrepresent the discount, the commission, or your relationship with RTC.
  • Post your athlete code on public coupon, deal, or cashback websites (e.g., RetailMeNot, Honey).
  • Generate fraudulent orders, use your own code on your own purchases, or otherwise manipulate the Program to inflate your commissions or tier.
  • Impersonate another athlete, brand, team, or school.

6. FTC Disclosure

When you promote RTC products on social media or elsewhere, you agree to clearly and conspicuously disclose that you have a paid relationship with RTC in accordance with the Federal Trade Commission's Endorsement Guides (16 C.F.R. Part 255). Acceptable disclosures include hashtags such as #ad, #sponsored, or #RTCpartner placed at the start of the relevant post or caption.

7. Intellectual Property

RTC retains all rights, title, and interest in its name, logos, trademarks, product designs, copy, photography, and other branded assets. We grant you a limited, revocable, non-exclusive, non-transferable license to use RTC marks and approved promotional assets solely to promote the Program in line with these Terms.

You grant RTC a worldwide, royalty-free, non-exclusive license to use, reproduce, distribute, and display any content you publicly post and tag to RTC (including photos, videos, and stories) for marketing and promotional purposes. You represent that you have all necessary rights to grant this license.

8. Privacy

Your use of the Program is also governed by our Privacy Policy, which describes what information we collect, how we use it, and your choices. By participating in the Program you consent to that processing.

9. Communications

By signing up, you agree to receive Program-related communications from RTC at the email address and phone number you provide, including transactional, tier, and payout messages. You may opt out of non-essential marketing communications at any time without affecting your eligibility to earn commissions.

10. Modifications & Termination

We may modify these Terms or the Program at any time. Material changes will be communicated by email or by notice on your dashboard. Continued participation after changes take effect constitutes your acceptance.

We may suspend or terminate your account, void unpaid commissions, and revoke store credit if you violate these Terms, engage in fraud, violate the rights of third parties, or otherwise act in a manner harmful to RTC, our customers, or other athletes. You may close your account at any time by emailing team@representthecode.com. Sections 4 (in respect of accrued amounts), 7, 11, 12, and 13 survive termination.

11. Disclaimers

The Program and the RTC platform are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. RTC does not warrant that participation in the Program will be uninterrupted, error-free, or that any specific level of earnings will be achieved.

12. Limitation of Liability

To the maximum extent permitted by law, RTC and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your participation in the Program. RTC's total liability to you for any claim arising out of or related to these Terms or the Program is limited to the greater of (a) the commissions paid to you in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless RTC and its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your participation in the Program, your promotional activity, your violation of these Terms, or your violation of any law, regulation, or third-party right.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Program will be resolved exclusively in the state or federal courts located in Davidson County, Tennessee, and you consent to the personal jurisdiction of those courts.
